Digitalli Kraft – Terms and Conditions

These Terms explain how Digitalli Kraft works with you, what we are responsible for, and what we need from you to deliver your order smoothly. Once you make a payment, your order is confirmed. Prices are clear and transparent but may change if costs, exchange rates, or specifications change. You are responsible for approving designs before production, and that approval is final. Customised items are only refunded if faulty; liability is limited, and Nigerian law applies. The sections below provide the full legal details.
1. About These Terms
These Terms and Conditions govern all products and services provided by Digitalli Kraft, a business registered in Nigeria. By placing an order, making payment, or using our services, you agree to these Terms. They apply to all customers unless we have agreed otherwise in writing.
2. Orders and Acceptance
An order is considered accepted once payment has been made, either in full or partially, where this has been agreed in advance. No additional contracts, signatures, or separate confirmations are required once payment is received. By paying, you confirm that you understand and accept the scope of work, pricing, timelines, and specifications shared at the time of ordering.
3. Pricing and Payments
We aim to keep all pricing clear and transparent. Prices are based on current production costs, materials, supplier pricing, and exchange rates at the time of quotation. Due to inflation, currency volatility, supplier changes, or late changes to specifications after payment or approval, prices may need to be reviewed. Where this happens, we will communicate any adjustments clearly before continuing work.
All payments must be made using the approved payment methods shared at checkout or on your invoice. Where deposits are required, they are non-refundable once work has started.
4. Automated Process and Customer Approvals
Digitalli Kraft operates a largely automated and streamlined process to ensure speed and consistency. Customer involvement is intentionally limited to key decision points. You are responsible for carefully reviewing and approving all designs, mockups, samples, or specifications provided. Once approval is given, the order moves directly into production.
After approval, responsibility for accuracy, spelling, layout, colours, and content rests entirely with you. Changes requested after approval may attract additional costs, cause delays, or may not be possible once production has started.
5. Production Standards
Our products are produced using standard industry processes. Minor variations in colour, size, placement, or finish may occur and are considered acceptable where they fall within normal production tolerances. Samples, mockups, and previews are provided as guides and may not exactly match the final product.
6. Delivery and Timelines
All delivery timelines are estimates unless expressly agreed otherwise in writing. Delays may occur due to production schedules, logistics partners, customs processes, or factors outside our control. Where third-party couriers or logistics providers are used, Digitalli Kraft is not responsible for delays or losses caused by them.
Risk passes to you once goods are dispatched or delivered, depending on the agreed delivery method.
7. Inspection and Acceptance
You are required to inspect your order immediately upon delivery. Any defects, shortages, or issues must be reported to Digitalli Kraft in writing within five working days of delivery. If no issue is reported within this period, the goods will be deemed accepted.
8. Returns and Refunds
Customised or branded products cannot be returned or refunded unless they are faulty. Where an issue is reported within the inspection period and confirmed after review, Digitalli Kraft may, at its discretion, offer a repair, reprint, replacement, or refund. Approved designs and customer errors are not eligible for refunds.
9. Ownership of Goods
All goods supplied by Digitalli Kraft remain our property until full and cleared payment has been received. You may not resell, distribute, or transfer ownership of unpaid goods. Where legally permitted, we reserve the right to recover unpaid goods.
10. Intellectual Property
You confirm that you own or have the legal right to use all logos, images, text, and materials you provide to us. You agree to indemnify Digitalli Kraft against any claims, losses, or costs arising from the use of customer-supplied materials. Digitalli Kraft retains ownership of its tools, processes, templates, and pre-existing materials.
11. Liability
Digitalli Kraft is only liable for losses or damages caused by intentional misconduct or gross negligence. We are not responsible for indirect losses, loss of profit, loss of business, or business interruption. Where liability applies, it is limited to the total value of the relevant order.
Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot be excluded under applicable law.
12. Right to Refuse or Cancel Orders
Digitalli Kraft reserves the right to refuse, suspend, or cancel an order if payment is not received, required information is not provided, timelines are not met, or if supplied content is illegal, offensive, or infringes the rights of third parties. Costs incurred up to the point of cancellation remain payable.
13. Confidentiality and Data
Both parties agree to treat any confidential information shared during the course of an order as confidential and not to disclose it except where required by law. Digitalli Kraft will handle customer data in line with applicable data protection laws.
14. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or connected to these Terms will be resolved exclusively in Nigerian courts.
15. Changes to These Terms
Digitalli Kraft may update these Terms from time to time. The version in force at the time you place your order will apply to that order. Continued use of our services indicates acceptance of the updated Terms.
